在法國可以允許外國企業開設法國分公司(Branch)嗎?
Can foreign companies open branches in France?
永輝RD答:
外國企業可以成立法國分公司。
法國擁有相對強勁的經濟實力，並且有一些優勢，比如對外國投資者在法國設立分支機構的財政獎勵。
成立法國分公司程序是比成立一家公司簡單，但分公司的成立過程中，所需的文件和文件認證申請，是一個比較費時的程序。
Foreign companies can set up branches in France.
France has a relatively strong economy and has some advantages, such as financial incentives for foreign investors to set up branches in France.
The procedure for setting up a French branch is simpler than setting up a company, but the process of setting up a branch, with the required documents and application for document authentication, is a more time-consuming procedure.
外國企業可以成立法國分公司需具備的形式要件是哪些？
What are the formal requirements for a foreign company to establish a French branch?
永輝RD答:
*註冊地址，在法國設立分公司時，註冊地址是必不可少的。
*母公司組織章程大綱及章程細則一份
*母公司的公司註冊證書複印件
*指定法國分行代表的文件-如果非歐盟特別國家，需要授權
上述要求是商事法院註冊分支機構所需要的。
所有文件必須經過正式公證，並翻譯成法語。
* Registered Address ,when setting up a branch office in France a registered address is essential.
* A copy of the Memorandum and Articles of Association of the parent company
* Copy of Certificate of Incorporation of Parent Company
* Document designating the representative of the French branch – in case of non-EU special countries, authorization is required
The above requirements are required for a registered branch of a commercial court.
All documents must be duly notarized and translated into French.

分支機構必須向稅務機關登記，以獲得增值稅號碼用於稅務目的。
增值稅應按月申報，納稅申報應按年申報。
母公司必須每年向商業法院提交預算給分公司的負債和資產。
分支機構必須保存自己的記錄。
Branches must register with the tax authorities to obtain a VAT number for tax purposes.
Value-added tax (VAT) should be declared monthly and tax returns should be reported annually.
The parent company must annually submit a budget to the commercial court for the liabilities and assets of the branch.
Branches must keep their own records.
法國分公司一定要在法國開立法國銀行賬戶嗎?
Do a French Branch have to open a French bank account in France?
永輝RD答:
法國分公司通常會開立一個法國銀行賬戶，但不是必須的，因爲法國稅務局可以接受收取來自國外的款項，雖然外國銀行帳戶不能安排自動扣款。
該分行不需要法國銀行賬戶，因爲沒有股本支付。
請注意，該分公司是外國公司的稅務實體。
然而，由分公司，外國公司可以做業務和雇用人，這跟法國子公司的作用是相同的。

The French branch will usually open a French bank account, but it is not necessary, The French tax authorities can accept payments from abroad, although foreign bank accounts cannot be automatically debited.
The branch does not need a French bank account as there is no share capital to pay in.
Please note that the branch is a tax entity of the foreign company.
However, by the branch, foreign companies can make business and hiring people in the same way as the subsidiary.
Only additional requirement for the branch is the double bookkeeping: Locally for tax purpose (France) and in the Country where is based the company.
In general, a local French bank can make easier, payments and receipt from clients.
However, this can be easily made from a foreign account in euros.
Main problem is the payment of taxes and social contribution, as the usual way to do it is a direct debit on the accounts that is not easy to set up with a foreign account.
However, please note that a lot of clients start their business by a branch because of the problem in opening a French bank account. Going forward, they usually succeed to get it, thanks to the growth of their activities in France or thanks to the introduction from an important local client or supplier.
In any case, we do confirm that a branch can be registered without a bank account.

What office facilities are available when registering a branch?

在法國設立分公司時，註冊辦事處是必不可少的。
兩種註冊辦事處皆可以:
*虛擬辦公室通過電話、傳真和郵件轉發等非現場通信保持實體辦公室的業務專業性
*服務式辦公室已準備就緒，可即時入住，幷包括所有所需的商業設施
A registered office is requisite when setting up a French branch.
The following offices are also available:
*Virtual offices maintain the business professionalism of a physical office through off-site communication such as telephone, fax and mail forwarding.
*Serviced offices are ready for immediate occupation and include all the required business facilities.
